We have an outstanding opportunity for a Senior Manager, Supply Chain Legal Advisor, reporting to the Associate Director, Raytheon Supply Chain (SC) Advising. The SC Advisor will provide advice and subcontract drafting support for purchasing professionals by reviewing purchase order/subcontract terms & conditions in compliance with applicable company policies and procedures, internal guidance briefs, federal, state, and local laws, as well as the Federal Acquisition Regulation (FAR) and supplements thereto.

Additionally, this role will advise purchasing professionals and Program Managers on subcontract related terms, issues, and risks, such as warranty interpretation, limitation of liability, termination for convenience or default, intellectual property, indemnification, and claims. This position advises relevant stakeholders on various agreement types, such as long term agreements, novation/assignments, software licensing for Commercial and Free and Open Source Software, teaming agreements and proprietary information agreements.

Responsibilities to Anticipate:

  • Draft terms & conditions that provide the best protection and benefit to the company

  • Research legal issues for the Supply Chain organization or the Legal, Contracts, and Compliance (LCC) office

  • Assist in establishing negotiation goals, and assist in negotiations regarding deviations from standard provisions

  • Review and advise SC on performance issues such as claims and insolvency

  • Assist the organization in writing business processes, policies and in oversight reviews; provide training and communications

  • Assist in maintaining standard terms & conditions and negotiations guidance

  • Review complex legal issues with Counsel as appropriate and support audit activities

  • Maintain active communication with requesters, management, Subject Matter Experts (SMEs), and SC and Program Counsel on significant legal problems and issues

  • Minimal domestic travel to Raytheon sites as required

Basic Qualifications:

  • Typically requires a University Degree or equivalent experience and minimum 10 years prior relevant experience, or an Advanced Degree in a related field (Juris Doctorate or Masters Degree in Legal Studies) and minimum 7 years' experience

  • The ability to obtain and maintain a U.S. government issued security clearance is required

  • U.S. citizenship is required as only U.S. citizens are eligible for a security clearance

  • Experience drafting and negotiating terms & conditions, solicitations, purchases, licenses or various contractual agreements

Preferred Qualifications:

  • Detail oriented, excellent problem-solving skills, and ability to develop options and solutions that are practical and can be readily acted upon

  • Excellent oral and written communications skills

  • Ability to conduct legal research

  • Possess a positive, cooperative attitude, but assertive when necessary to comply with company policies and Government regulations and laws

  • Ability to work effectively in a fast-paced work environment, with often changing goals and requirements, and a very heavy workload, including special projects

  • Must be extremely collaborative, as this candidate will have regular interaction with SC personnel, LCC and Program Counsel, other SME functions, and other business entities

  • Knowledge and experience with the FAR and FAR supplements and Government contract procurement processes is preferred

  • Government or commercial contracts drafting and negotiations experience is strongly preferred

  • Familiarity with SC processes and procedures is preferred

  • Knowledge of export/import, cybersecurity, and privacy law and issues is preferred

  • Knowledge and experience in reviewing commercial software and free and open-source software (FOSS) licenses and providing acceptable use guidance is preferred

Work Location:

Remote: This position is currently designated as fully remote. However, the successful candidate will be required to work from one of the 50 U.S. states (excluding U.S. Territories).

The salary range for this role is 118,000 USD - 246,000 USD. The salary range provided is a good faith estimate representative of all experience levels. RTX considers several factors when extending an offer, including but not limited to, the role, function and associated responsibilities, a candidates work experience, location, education/training, and key skills.

Payments under these annual programs are not guaranteed and are dependent upon a variety of factors including, but not limited to, individual performance, business unit performance, and/or the companys performance.

This role is a U.S.-based role. If the successful candidate resides in a U.S. territory, the appropriate pay structure and benefits will apply.
