Job Summary

The Vice President & Senior Counsel (VPSC) works with the Business and Legal Affairs (BALA) team in connection with the formal review and negotiation of vendor contracts, such as master service agreements, statements of work, sponsorship agreements, media purchase agreements, insertion order terms and conditions, social media and content agreements, consulting agreements, event and facilities agreements, technology and data license agreements, and contract templates (Practice Areas). The VPSC is specifically tasked with providing advanced drafting, assessment, counseling, and negotiation skills across all departments of the agency in connection with the Practice Areas. The VPSC is charged with the management and supervision of a small team of attorneys. The VPSC provides supervision, guidance and mentoring to this practice team in the Practice Areas, as well as such guidance to other members of the BALA team as required. Additionally, the VPSC partners with all Horizon Media departments and affiliates, their leads and the agency executive team to provide campaign counseling, providing contract information, evaluate current contractual risk and to ensure that contractual protections and processes are sufficient to cover business transactions. The VPSC is charged with the monitoring and management of the BALA ticketing system (Nexus) related to vendor contract review requests and the delegation and monitoring of assigned tasks from that system to the practice team. This position also requires the use and implementation of the BALA electronic contracts database depository (LaserFiche).

Main Duties and Responsibilities

  • 50% - Contract Review and Negotiation.
  • 25% - Campaign Counseling / Contract Risk and Processes.
  • 25% - Practice Area and Practice Team Management and Supervision

Supervisory Responsibilities

Supervise a vendor practice team of two attorneys.

Knowledge and Skills Required

  • 7-10 years of experience working within a corporate business affairs/legal affairs department in advertising, media, custom content production and/or entertainment
  • Advanced contract/transactional drafting experience related to corporate contracts
  • Advanced contract/transactional focus in digital advertising, data usage and licensing, social media, sponsorships, and/or custom content production
  • Excellent verbal/written communication and interpersonal skills interfacing with BALA staff members, agency teams and vendors
  • Excellent organizational and delegation skills
  • Ability to work in a fast-paced environment and balance and prioritize multiple assignments among the vendor practice team to ensure deadlines are met
  • Must exhibit excellent attention to detail and managerial capability
  • MS Office proficiency (Outlook and Word competence a must; Excel a plus)
  • Working understanding and utilization of office and document technology required. Usage and/or implementation of document management systems and/or task ticketing systems a plus

Certificates, Licenses and Registrations

A bachelors degree from an accredited university and a Juris Doctor from an ABA-accredited law school. Candidate must be a member in good standing of the New York State Bar.

Salary Range

$210,000.00 - $240,000.00

A successful applicants actual base salary may vary based upon, but not limited to, skill sets, experience and training, licensure/certifications, and equity.
