Our client, a green energy investment platform delivering green energy projects and decarbonization globally, is looking for a GC for American operations. As General Counsel, you will play a critical role in providing strategic legal counsel and guidance to the organization. You will be responsible for overseeing all legal matters, ensuring compliance with regulatory requirements, and mitigating legal risks to protect the company’s interests.

Key Responsibilities:

Lead legal due diligence efforts in M&A transactions firmwide, including reviewing and analyzing legal documents, identifying risks, and advising on potential legal issues.

Diverse experience advising clients across project and asset level investing as well as platform and corporate transactions.

Draft and negotiate transaction documents, such as letters of intent, purchase agreements, and disclosure schedules.

Coordinate with internal and external stakeholders, including investment bankers, accountants, and regulatory authorities, to facilitate deal execution and ensure compliance with legal requirements.

Provide strategic advice and guidance on structuring and executing M&A transactions to achieve business objectives while minimizing legal and regulatory risks.

Monitor and interpret relevant laws, regulations, and guidelines affecting the investment advisory industry, including SEC and FINRA rules.

Develop and implement compliance policies and procedures to ensure adherence to regulatory requirements.

Conduct periodic compliance reviews and assessments to identify and address potential issues proactively.

Review, draft, and negotiate a variety of contracts and agreements, including client agreements, vendor contracts, and partnership agreements.

Ensure contracts are in compliance with legal requirements and aligned with the company’s interests and objectives.

Provide guidance and support to internal stakeholders on legal matters, including litigation, disputes, and regulatory inquiries.

Collaborate with external legal counsel, and other commercial teams, as needed to manage complex legal issues including any arbitration or litigation proceedings that may arise.

Advise the executive team and board of directors on corporate governance matters, including board composition, fiduciary duties, and governance best practices.

Experience, and comfort, with cross-border investment structuring including fund and entity formation, tax planning considerations.

Comfort with drafting PPMs, LPAs, Side Letters, and tracking and management of related obligations.

Comfort operating in a fast-paced environment with a very slim organizational and legal structure.

Qualifications:

Juris Doctor (JD) degree from an accredited law school.

Active membership in good standing with the state bar association.

Minimum of 10 years of experience practicing law, preferably in the financial services industry or investment advisory space.

Strong knowledge of securities laws, regulations, and compliance requirements, including the Investment Advisers Act of 1940 and the Securities Act of 1933.

Ability to communicate complex legal concepts effectively and collaborate cross-functionally.
