The Associate General Counsel will play a key role in Spheras continuing growth and success, by serving as a valued partner to executive management and company leaders in the Sales, Finance, HR, Product, Services, and IT teams, and in establishing and maintaining strong and profitable client relationships. The Associate General Counsel is a critical member of the companys legal team, supporting the General Counsel with legal strategy and team development. The Associate General Counsel will serve as a trusted legal advisor for operations and corporate functions both domestically and internationally.
This position may be remote or hybrid, east/central time zones.

Responsibilities:

  • Partner with the General Counsel and DGC/AGC(s) to support the commercial needs of Spheras fast-growing global operations, including developing and maintaining working knowledge of Spheras business by building positive relationships with the relevant business team leaders.
  • Partner with and provide counsel to leaders in HR, Finance, IT, Services, Product and Marketing teams on legal matters, as appropriate, including employment law, intellectual property, compliance, corporate governance and subsidiary management, M&A, data privacy, dispute resolution and/or others.
  • Coordinate with global outside counsel.
  • Review and prepare complex commercial agreements, including SaaS/software, professional services, consulting, licensing, vendor, and partner agreements, as well as a wide variety of other types of legal documents and contracts, with global and regional scope.
  • Manage third party disputes and other legal matters and processes, in collaboration with the General Counsel.
  • Support the General Counsel and senior management on aligning legal team processes with business strategy.
  • Manage a team of attorneys and/or contract managers.
  • Support the General Counsel with team strategy, hiring, management and training.

Experience:

  • Minimum of 10 years relevant professional experience (including as a senior in-house team member at a multinational company; additional law firm experience required)
  • Minimum of 8 years of experience managing complex transactions (technology sector experience preferred)
  • Significant experience working with global teams at a multinational business, including experience addressing cross-border legal issues.
  • Demonstrated ability to understand and clearly and concisely communicate complex legal issues to business teams and counterparties.
  • Demonstrated project and team management skills.
  • Demonstrated ability to develop collaborative and successful relationships with senior leadership, the sales organization, including in managing B2B contracts (SaaS experience preferred).
  • Excellent writing, negotiation, and drafting skills.
  • Strong knowledge of data privacy, security, and IP issues relevant to SaaS/software providers.
  • Knowledge of multiple other substantive areas is required: employment law, corporate governance/subsidiary management, compliance, M&A or others.
  • Demonstrated ability to develop and implement effective solutions to complex problems.
  • Excellent attention to detail.
  • Proactive team player.
  • Ability to work in a fast-paced environment and maintain poise and sense of humor in stressful situations, a master at prioritization.
  • Successful prior team management
  • Demonstrated experience working with cross-functional senior business leaders (global)
  • Experience implementing new processes and project/change management experience.
  • Significant experience in other substantive legal areas (in addition to complex transactions) which including at least two of the following: M&A, Labor and Employment, Corporate Governance, Data Security and Privacy, Intectual Property, Dispute Resolution/Litigation, international operations/entity rationalization.
  • JD required. Licensed to practice law in applicable jurisdiction of residence required.

Pay:

$189,000.00 - $290,000.00 + Eligible for Variable Compensation Plan
