Hi, I'm Amy Fetchko, your Recruiter and guide to joining CSG! We are excited to learn more about you and your unique background. We are seeking a Vice President & Associate General Counsel who will be responsible for a variety of legal functions including merger & acquisitions, corporate governance and commercial transactions. You will provide legal advice in areas such as complex technology transactions, strategic partnerships, and regulatory matters. You will coach, guide, and measure team member performance.

We are looking for a Vice President & Associate General Counsel who will:

  • Supervise a small team of one paralegal and one attorney.

  • Participate in periodic GC Reports meetings (with other lead attorneys, chief compliance officer, head of procurement/facilities and head of DEI) to provide strategic guidance and leadership to the GC reports team (approximately 55 individuals).

  • Support and advise on general corporate governance and board matters.

  • Prepare resolutions for and presentations to the Board of Directors.

  • Manage SEC reporting requirements, including annual Proxy Statement.

  • Monitor and ensure legal compliance with aspects of CSGs regulatory requirements.

  • Lead projects that reduce risk and improve efficiency across the team and company.

  • Draft, review and negotiate a wide range of agreements, including financing, investment and partnership agreements.

  • Identify and manage risks and propose solutions to mitigate risks with respect to transactions, contracts, operations, and litigation.

Is this opportunity right for you? We are looking for candidates who:

  • Hold a J.D. from accredited law school and licensed or qualified to practice law in the United States.

  • At least 15 years of progressive experience in transactional work, with an emphasis on M&A and corporate governance, including SEC reporting.

  • Experience leading and transforming a team.

  • Ability to manage transactions with minimal oversight.

  • Advanced competency in structuring complex business relationships and agreements with attention to detail and strong drafting skills.

  • Effective negotiator with strong business acumen and ability to serve as a business advisor with strong analytic capabilities.

  • Ability to collaborate across functions and teams, work independently and efficiently, manage multiple projects simultaneously under time pressure and consistently meet deadlines with high quality work product.

  • Sound judgment, excellent interpersonal skills with proven experience in relationship building and partnering. Must work well in both team and individual settings and be comfortable providing senior executive-level guidance.

  • Excellent verbal and written communication skills, with ability to simplify complex issues for non-lawyers.

Preferred Skills

  • Diverse transactional experience, including M&A and finance transactions.

  • Prior experience drafting and negotiating technology-related agreements.

  • Prior experience with cloud-based contracting and regulatory issues and outsourcing transactions.

  • Prior experience with US and international data privacy and data security issues.

    Position Pay Range:

    This range represents the low and high end of the salary range for this position. Actual salaries will vary based on factors including but not limited to geographical location and experience.

    $185,280.60-$296,448.14

    This role is eligible for bonus and equity.
