We are seeking a motivated Associate General Counsel candidate to come in and partner with the general counsel to set and maintaine high standards of accountability, professionalism, and followthrough as the company expands its technology portfolioto. As the company enters its next stage of growth, this person will provide legal advice and support on a broad range of initiatives and will report directly to the General Counsel.

The Associate General Counsel is responsible for working with the team on a wide variety of domestic and international legal matters related to ST Engineering iDirects satellite business operations. The Associate General Counsel identifies and analyzes legal issues, reviews, drafts, and negotiates key customer and strategic partner agreements and presents clear recommendations to the team, internal stakeholders and senior management. You are responsible for providing support to the General Counsel with managing the demands of a dynamic industry and the companys expanding technology portfolio. Additionally, the Associate General Counsel manages the companys overall compliance framework, including implementing, maintaining and monitoring international regulatory, legal, and policy compliance for the company.

Responsibilities

  • Strategic Agreements:
    • Draft, review, and negotiate a wide range of key corporate and technology-related agreements including memorandum of understandings, strategic partnership agreements, and international commercial agreements including reseller, purchase and sale, and other customer oriented agreements, licensing and technology agreements, partnership and innovation agreements, and complicated manufacturing agreements
    • Provide legal counsel on complex software development, distribution, and licensing issues, and advise on compliance with industry standards and regulations related to software and technology agreements
    • Collaborate with internal stakeholders to ensure contractual agreements align with business objectives and corporate policies
    • Act as a resource and partner to the legal team on contract matters
    • Collaborate with outside counsel as needed
  • Intellectual Property:
    • Assist with protecting and managing the company's intellectual property rights
  • Parent Company Liaison:
    • Serve as a point of contact on a variety of inquiries and initiatives driven by our parent company, ST Engineering in Singapore and our US holding company, ST Engineering North America in Virginia
  • Compliance:
    • Play a key role in advising on and implementing controls, policies and processes to scale the business; stay up-to-date on relevant laws and regulations affecting an international technology company, including data privacy and data security
    • Collaborate with cross-functional teams to implement data protection policies and practices, and support data privacy standard practices for customer, employee, partner and vendor personal information
  • Corporate Governance:
    • Assist on corporate governance matters for affiliated overseas legal entities, including board meetings and resolutions
    • Assist with corporate training on code of conduct, ethics, conflict of interest and other corporate compliance related matters
  • Team Management:
    • Collaborate and help mentor a team of legal and contract professionals at various career stages
    • Providing guidance and support to foster individual professional growth and team development

Qualifications

  • JD degree and licensed to practice law in a US jurisdiction (State of Virginia preferred)
  • 7-10 years of progressive relevant work experience in legal firms and in-house legal departments, preferably in a global organization
  • Demonstrated experience drafting and negotiating a broad range of complex domestic and international commercial transactions, including purchase and sale agreements, and reseller and channel partner agreements
  • Experience with in bound and out bound licensing of intellectual property with a focus on end user license agreements
  • Experience with US and international data privacy laws, implementation and compliance
  • Experience supporting internal company departments, such as finance, program management, global sales and business development
  • Highly team-oriented and supportive
  • Possess strong leadership, analytical, and verbal and written communication skills
  • Experience dealing with internal and external customers and suppliers; positive customer-facing demeanor
  • An innovative approach to legal issues in support of strategic business initiatives and objectives
  • Excellent business judgment with a high degree of common sense and resourcefulness
  • Flexibility and willingness to work on a broad variety of legal matters
  • Willingness to travel internationally on an infrequent basis.
