Job Summary

The Senior Counsel, Contracting - Technology is responsible for serving as a subject matter expert in Legal on contracting within the technology space, and providing legal guidance focused on information technology transactions, outsourcing and/or software licensing transactions.

Responsibilities

  • Drafting, analyzing and negotiating complex and routine commercial contracts, including non-disclosure agreements, master services agreements, SOWs, SaaS agreements, supply chain agreements, transportation agreements, licensing and other technology agreements.
  • Managing a contract matter throughout the process, from intake or drafting through negotiation and execution, and assisting the business in ongoing contract management and dispute resolution.
    Advising on performance issues and available contractual remedies.
  • Supporting the Law Department in contract lifecycle management, template creation and the development of contracting standards applicable to the organization to achieve organization-wide consistency.
  • Researching and evaluating contract management products and other legal technology tools to streamline legal processes.
  • Assisting in implementing innovative legal products and procedures.
  • Ensure that client contract documents flow through defined contracts management processes in a timely and accurate manner. Ensure contract terms are appropriately communicated to internal business partners. Ensure pricing and terms are captured accurately in contract management systems.
  • Develop appropriate relationships and communication with internal business partners to ensure that client contracts are constructed to support Rite Aid enterprise strategy, profitability goals, and with consideration for functional operations.
  • Develop and maintain appropriate contract management documents and tools, including but not limited to contract request status reports, contract summary reports, and expiration reports.
  • Deliver ad hoc reports and analyses as requested. Maintain complete, accurate, and up-to-date contract records and audit trails as required.
  • Develop and master familiarity with the information systems utilized within the Company (i.e., SharePoint, Microsoft Teams, SmartSheet).
  • Perform other related responsibilities as assigned.

Requirements:

  • 7 years of experience in attorney in a law firm, technology company or related entity providing legal advice related to contracting required.
  • Familiarity with information technology and infrastructure preferred.
  • Exhibits strong leadership skills, outstanding interpersonal skills, a collaborative style, and experience successfully working across departmental lines to implement new policies, procedures and programs.
  • Ability to exercise considerable judgment, maintain confidentiality, and act in a diplomatic manner.
  • Ability to independently identify, research and resolve issues.
  • Superior interpersonal and presentation skills, with ability to communicate (both in writing and verbally) with internal and external clients at all levels.
  • Self-directed and able to work with minimal supervision.
  • Ability to work extended hours, weekends, and holidays pursuant with industry demands.

Qualifications

The typical starting pay range for this position is between [$97k-$132k], although wages can vary based on experience and geography.
