Job Summary

The primary responsibility of the Assistant General Counsel, Commercial Contracts is a key function supporting the companys business objectives, partnering with cross-functional teams to empower teammates to achieve shared company goals while managing risk and protecting our business. Responsibilities

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Drafting, reviewing, editing, and negotiating the company's wide array of commercial contracts (vendor and customer), and providing general commercial transaction support across the organization
  • Assessing contracts to determine risk levels and advising on the same and risk mitigation strategies
  • Collaborating with respect to, and working on, the enhancement, updating, and creation of certain playbooks setting forth company guidelines and procedures to scale the legal function as the company grows
  • Continually looking to improve the contracting process to ensure efficiency, accuracy, compliance, and a positive experience with the contracting process for all
  • Providing general support to the legal function by handling other legal matters, as applicable
  • Spearheading and supporting the legal function initiatives aimed at streamlining and improving upon legal processes and policies
  • Manage other attorneys and/or paraprofessionals
  • Lead business strategies that respond to relevant legal developments
  • Respond to legal questions from company management and staff
  • Serve as recognized source, for both management and other attorneys, of innovative ideas in complex areas of law or business
  • Advise legal department managers of critical project developments in a timely manner
  • Manage direct reports in accordance with company policies in an equal manner that ensures confidentiality
  • Lead and mentor staff to improve skillset and career potential
  • Advise on employee promotions, transfers, and dismissals
  • Other duties as assigned

REQUIREMENTS:

  • JD from an accredited law school and be admitted to practice in at least one state
  • 6+ years of broad-based commercial contracting experience with exposure to other legal matters; having a combination of law firm and in-house experience is preferred
  • Ability to manage a high volume and wide array of commercial contracts from complex to routine, in a dynamic and fast-paced environment, as well as adapt quickly to changing priorities and complete projects in a timely and accurate manner
  • Familiarity with a wide range of legal matters, especially those pertaining to commercial contracts, including information security, data privacy, and intellectual property matters
  • Superb written and oral communication skills, with clear and concise drafting skills and the ability to communicate legal concepts or nuances in plain English
  • Exemplary level of professionalism, attention to detail, and high-quality work product
  • Sound judgment; ability to make and articulate well-reasoned recommendations
  • Solid business acumen with an unrivaled commitment and deep-seated drive to provide responsive service to our teams and get things done; approaches responsibilities with a business-friendly and pragmatic mindset while maintaining a commensurate balance of risk
  • Ability to work independently while also being a strong collaborator
  • Process-oriented with the ability and desire to find and implement efficiencies and improvements
  • Interest in, and enthusiasm for, working on non-contract legal projects and initiatives on an ad hoc basis

  • Pharmacy or Healthcare knowledge
