Guidewire Software is looking for an experienced in-house corporate attorney with a strong background in corporate work, including public company representation and strategic transactions. This role will be a key member of the legal team, taking primary responsibility for the Companys public filings, regulatory compliance and M&A transactions. We are seeking a self-motivated individual who will be comfortable working in an exciting and fast paced in-house collaborative environment, while staying upbeat and customer focused.

Working with other members of the Legal Team and other key stakeholders, the successful candidate will be required to provide corporate governance support to senior members of the organization. This attorney must be comfortable working in a collaborative in-house environment, have sound business sense, and be adept at assessing legal risks of situations as they arise. This attorney should be comfortable rolling up their sleeves to ensure filings and corporate governance work gets done working in the in-house environment. Superior judgment, strong analytic abilities and a collegial approach to problem solving, combined with a polished, diplomatic presentation style and comfort dealing with senior executives, are critical to this role. Both the company and legal team have grown consistently over the years and the candidate will have numerous opportunities for growth.

The primary responsibilities include:

    • Oversee the legal aspects of preparing the companys SEC filings, proxies, ESG and other public disclosures, as well as managing the annual shareholder meeting.
    • Advise senior management on, and participate in, investor and public relations matters.
    • Oversee legal aspects of equity plan administration, trading windows and employee education.
    • Work closely with paralegals and Legal Team.
    • Provide strategic counseling and manage both internal and external teams in the review and negotiation of business development opportunities.
    • Assist in managing outside counsel, including billing, in line with the Global Head of Legal and corporate legal budget, for areas of assigned responsibility.
    • Assist the executive team on other strategic projects and initiatives as they arise.

Skills and Experience

    • 5+ years legal counsel experience in the corporate and securities department of a major law firm and/or in-house law department of a public technology company (preferably both) working on general corporate, M&A and/or securities matters. In-house law department experience preferred
    • Desire and ability to work with in-house Legal Team, including paralegals and other attorneys on a multinational team.
    • Strong professionalism, with strong self-direction and demonstrated career progression, combined with a desire to continue to learn and advance!Prior experience with corporate governance and regulations (including SEC requirements & reporting). Experience with multi-national operations is desirable.
    • Impeccable integrity through all tasks and interactions.
    • Excellent collaboration skills with proven ability to work effectively cross functionally.
    • Strong organizational, analytical, and negotiation skills with extraordinary attention to detail.
    • Ability to work under pressure, juggle multiple projects with contending priorities, meet deadlines, and adapt to change in a dynamic environment, all while maintaining a positive, can-do attitude.
    • Excellent verbal and written communication skills.
$158,000 - $238,000 a year
Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
