Senior Tax Counsel - U.S. International Tax Advisory

Position Description

This role is a member of the Tax Advisory team and serves as a Tax Advisor reporting to the Head of International Tax Advisory. This role provides technical tax advice and supervision of all U.S. international and foreign tax aspects of transactions, initiatives, and business transactions and supports the business, corporate and regulatory legal counsel, Investments, Treasury and other areas within Tax. As a leader and senior member in the AIG tax legal group, this role is expected to effectively function with minimal oversight and act with initiative in identifying needs, risks and opportunities that bring value to AIG. The role is responsible for developing close links to the business served and develop client relationships in becoming a trusted advisor to other senior AIG personnel.

Primary responsibilities include:

  • General Tax Planning - Supervise, research, analyze, review, and potentially implement solutions to initiatives in a manner that optimizes direct and indirect taxes, largely in the context of multinational insurance companies. Analysis includes extensive work with teams that model tax outcomes of various strategies and major legislative tax proposals. Deliverables include memos/opinions and presentation materials.
  • Restructurings Manage our M&A and internal restructuring transactions to achieve target structures in a tax efficient manner. Assist with the preparation and review of regulatory submission materials. Prepare/review/negotiate operative legal documents, memos, presentation materials, or written tax legal advice.
  • Coordination with Tax Reporting Group - Ensure complete communication of restructuring and planning projects to Tax Reporting Group to ensure accurate and timely U.S. GAAP financial statement, Statutory Financial, and tax return reporting. Provide support for issues arising in connection with preparation of US International tax filings.
  • Audit Defense Preparation - Prepare, review, and maintain adequate documentation of all transactions in preparation of future audit. Coordinate the inclusion of all aspects thereto, including U.S. GAAP, Local GAAP, U.S. STAT, Local STAT and the Tax Sharing Agreement implications. Provide support to AIGs Tax Controversy Group on on-going US federal income tax controversy matters.
  • Coordination with Indirect Taxes - Spot issues that may have an indirect tax implication and obtain advice to minimize indirect taxes from Indirect Tax Group.
  • Coordination with Transfer Pricing - Identify transfer pricing issues/opportunities and work with Transfer Pricing Group to adhere to global policies and ensure compliance with applicable transfer pricing regulations.
  • Coordinate and guide non-U.S. tax teams closely work with non-US tax teams to ensure comprehensive coverage of cross-border transactions and projects, including Pillar 2 implementation.
  • Lead Tax Counsel - Serve as reviewer and mentor for several junior tax lawyers and other tax staff.

Required Skills & Experience:

  • 10+ years of experience strongly preferred in a corporate tax planning function at a nationally recognized law firm, Big Four accounting firm or large multinational company.
  • J.D. or L.L.M. degree from an accredited U.S. law school and license to practice law.
  • Insurance tax experience, including a familiarity with tax issues for multinational financial institutions preferred.
  • An in depth understanding of U.S. international taxation complemented with thorough knowledge of Subchapter C, and rules specific to the taxation of insurance companies.
  • Ability to foster a collaborative team environment, including providing guidance and support to tax counsel.
  • Strong organizational, planning, and analytical skills with an ability to multi-task and operate in a fast-paced environment.
  • Inclusive leader that fosters a team environment, attention to detail, honesty/integrity, efficiency, openness to both criticism and to new ideas.
  • Excellent verbal, written, negotiation, persuasion, and presentation skills.
  • Proficient in the use of MS Office: Excel, Word, and PowerPoint.
