Requirements:

Purpose of the position

To head the legal function for the region Americas (AMS) and be the legal point of reference for all Envalior legal entities established in or active in AMS (currently US, Mexico and Brazil).

The purpose of the job

  • All Envalior business operations carried out within AMS or initiated/managed by Envalior BGs/BUs from AMS comply with all relevant laws and regulations.
  • The risks connected with and/or resulting from such business operations are adequately and actively managed.
  • The mission Statement of Envalior Legal & Compliance is implemented.

The Head of Legal AMS manages all external and internal legal counsel and legal support staff operating in AMS to ensure state of the art quality of legal services delivered and to maintain a professional support structure. He/she must manage (hierarchically and functionally) the legal counsel and support staff in AMS, notably to create the conditions under which such staff can effectively work and prioritize their activities to the business needs and/or corporate requirements.

The Head of Legal AMS ensures:

  • Pragmatic and commercially viable advice to Business Units (BUs) and all other relevant Group functions in the AMS
  • Implementation and adequate monitoring of Envaliors Compliance Management System in AMS
  • Determination and management of the budget for external legal spend pertaining to AMS
  • Management and allocation of internal and external resources to meet the deliverables and requirements of the BUs
  • Implementation and use of standardization, synergy management and organizational alignment to maintain a professional support infrastructure.

Main Responsibilities

Responsible for and represent Envalior entities in AMS in all legal matters including but not limited to:

  • Drafting and negotiating commercial agreements (sales and procurement matters)
  • Standardization of contracts and processes
  • Corporate housekeeping/governance of all AMS entities.
  • Implementation, maintenance and monitoring of Compliance Management System in AMS
  • Legal support in M&A transactions
  • Employment Iaw advise
  • Build maintain network with legal firms for effective legal management in AMS.
  • Ensure high level of operational efficiency by continuous improvement of organization and department work methods and ensuring incorporation of best practices/ creating awareness
  • Maintain good network with legal counsels of department, external lawyers, and law firms in AM

Challenges

  • Transformation of the role of mere support function to a business partnership
  • Proactive management of regulatory requirements for Bus in AMS.
  • Combine excellent legal capabilities with managerial and leadership capabilities.
  • Align and coordinate with the General Counsel of Envalior Group and interact with other inhouse counsels of the Legal & Compliance function of Envalior

Other Competencies, Skills, and Requirements

  • The Head of Legal AMS operates in a highly professional and dynamic business environment ensuring the delivery and quality of the overall legal services. This requires excellent knowledge of the varying underlying (strategic) Envalior business needs, requirements and (manufacturing) processes.
  • The Head of Legal AMS is engaged in increasingly complex and complicated regulatory requirements, national governance requirements, and other initiatives in the area of corporate governance and compliance.
  • The implementation of the corporate requirements and the monitoring of compliance are therefore integral part of the responsibilities of Head of Legal AMS.
  • The Head of Legal AMS has an initiating, advisory and coaching role with respect to the delivery of hands-on high-end legal work in areas which are of strategic importance for Envalior in AMS.
  • The HL is used to operate in an international and culturally diverse environment, managing internal and external (legal) resources in complex projects and coordinating with third-party advisors and business staff thereby ensuring that strict time limits and business requirements are being met.
  • The HL must be able to operate and perform under constant time pressure/time constraints.
  • Senior Lawyer with proven management capabilities
  • Minimum of 12 years international legal business achievements (law firm and/or in-house counsel)
  • Extensive negotiation experience in an international and/or multi-disciplinary environment
  • Used to operate/working experience in an international and/or multi-cultural environment
  • Knowledge of and experience with contract drafting and negotiation in common law systems
  • Good knowledge of underlying business (manufacturing/service) requirements and processes
  • Strong communication skills with a good sense for business issues.
  • Able to coach and manage people in a professional and inspiring way.
