What We Are Looking For:

Under limited supervision, the Investments Attorney will be responsible for leading all legal and compliance matters related to the investment portfolios for Aspidas operating insurance and reinsurance businesses. This will include overseeing governance and controls related to the investment policies, reviewing, and analyzing investment transactions, reviewing state/federal laws related to insurance company investments, and working closely with senior management and the investments teams on executing investment transactions. The ideal candidate should have a deep understanding of insurance laws, investment regulations, and financial markets. This role will report to the Chief Legal Officer and is required to be on-site 3 days a week at our headquarters in Durham, NC.

What You Will Do:

• Provide legal and business counsel to senior management and other key leaders of Aspida.
• Draft, review, and negotiate legal documents related to insurance investments, including investment agreements, asset management agreements, and other transactional documents.
• Provide legal support for investment transactions, ensuring compliance with regulatory requirements.
• Oversee and lead all aspects of Aspidas investment compliance process, including ensuring compliance with investment guidelines and monitoring investment managers.
• Assess and manage legal and financial risks associated with insurance investments.
• Support investment team with subscription documents and regulatory and KYC issues for investment transactions.
• Coordinate and manage outside counsel, as needed.
• Provide support for holding company and operating company boards and investment committees.
• Effectively collaborate with other corporate functions as necessary (i.e., risk, finance, investments, actuarial, tax, etc.).
• Provide support for other major projects as and when they arise (e.g., capital raising, mergers and acquisitions, etc.).

What We Require:

• Bar admission in good standing in at least one state with the ability to be admitted in North Carolina.
• 7+ years of experience in a law firm or in-house role.
• Experience with state insurance regulatory framework for insurance company investments.
• In-depth knowledge of insurance laws, investment regulations, and financial markets.
• Experience drafting, reviewing, and negotiating investment management agreements and reviewing a wide range of documentation related to investment transactions.
• Clear and concise verbal and written communication skills.
• Self-motivated with strong interpersonal skills.
• Problem solver who is curious, skeptical, analytical, creative and detail-oriented.
• Ability to manage multiple projects in a fast-paced environment.
