Senior Counsel, Marketing and IT/Digital

Job Description

PURPOSE OF THE POSITION: Senior Counsel is responsible for providing enterprise-wide legal support to the IT/Digital and Marketing Teams. This position also may manage a paralegal.

KEY RESPONSIBILITIES:

• Provide enterprise-wide legal support to the digital/IT and marketing (including culinary and beverage) teams on a variety of day-to-day legal matters, including regulatory compliance, contracts, and intellectual property
• Lead contract negotiation, drafting, and review for complex, high-value technology contracts critical to the ongoing operations of the organization
• Oversee the legal review of enterprise-wide projects, such as website, in-restaurant tablet, or loyalty program development, to ensure compliance and minimize legal liability
• Coordinate enterprise-wide data privacy and data retention policies
• Analyze legal risks for new initiatives, from ideation through implementation phases
• Counsel and collaborate with cross-functional units of the enterprise to administer effective business development efforts
• Promote change efforts impacting long-term goals in multiple business units
• Manage the selection, use, and proficiency of applicable outside counsel as a supplemental and strategic resource, as needed

OTHER JOB FUNCTIONS/RESPONSIBILITIES:

• Initiate and develop relationships with internal stakeholders
• Educate business teams on legal risks and emerging legal trends
• Effectively manage multiple high priority requests simultaneously and in a fast-paced environment
• Direct work to outside counsel, internal resources, and address billing issues as needed to adhere to the legal budget
• Take steps necessary to remain up to date on pertinent legal issues and legal education

REQUIRED KNOWLEDGE, SKILLS or ABILITIES:

EDUCATION/EXPERIENCE

Required

• Licensed and practicing attorney in good standing
• J.D. from an accredited law school
• 5+ years of experience in a law firm and/or corporation, including significant experience working on technology matters
• 5+ years of experience analyzing, interpreting, and communicating legal strategies and requirements for/to non-lawyer colleagues
• Knowledge/skill in structuring, drafting, and negotiating a broad range of agreements, including technology development, SAAS, marketing, and services agreements

Preferred

• Experience working with or for a franchisor or franchisee
• Restaurant or hospitality industry experience
• Some knowledge of alcohol laws applicable to licensed retailers

• Make autonomous legal decisions on matters affecting multiple business units
• Report to Associate General Counsel weekly on ongoing enterprise-wide matters

• Create legal and business solutions to problems inherent in novel technology, development, and marketing efforts
• Understand complex and overlapping areas of law to maximize efficiency
• Provide legal advice on a large variety of legal issues, including innovative initiatives

Interaction:

• Demonstrated ability and desire to work collaboratively in a team environment
• Primary legal liaison for multiple business departments and stakeholders of various company initiatives
• Communicate directly with internal and external clients on a daily basis
