Position: Vice President, General Counsel and Corporate Secretary

Location: Round Rock, TX (On-site)

Job Overview:

Infinitum is seeking a Vice President, General Counsel and Corporate Secretary to spearhead our legal department, reporting to the Chief Financial Officer. This role is a unique opportunity to work as a key partner to the C-suite and Board of Directors, guiding our legal strategies as we continue to disrupt the electric motor industry. The successful candidate will help drive our rapid expansion as we scale our operations, venture into global markets, and enhance our intellectual property. Ideal candidates will have a robust background in dealing with complex legal matters, preferably within the tech hardware or industrial sectors. This position requires a candidate with a significant in-house legal background, ideally with public company experience and a track record of navigating legal landscapes in high-growth, rapidly evolving environments.

Key Responsibilities

Act as the principal legal advisor to our C-Suite and Board of Directors, delivering timely, business-focused, and actionable legal counsel on a wide array of corporate matters.

Provide oversight of all aspects of the company's legal function. This includes, but is not limited to, commercial contracts, corporate governance, financing transactions, litigation management, intellectual property protection, regulatory compliance, and global expansion initiatives.

Represent the company in contractual negotiations with customers, partners, and suppliers.

Collaborate closely with cross-functional teams across the company to structure, draft, and negotiate complex commercial agreements and strategic partnership agreements that support aggressive growth while protecting the company's interests.

Proactively develop, implement, and refine corporate policies and procedures to ensure alignment with legal and ethical standards, and mitigate risk.

Strategically manage relationships with outside counsel to cost-effectively control the legal budget while achieving maximum business impact.

Exhibit strong professionalism and high ethical standards in executing these responsibilities.

Qualifications

Juris Doctor (JD) from a top-tier law school with strong undergraduate credentials.

20+ years of progressively responsible legal experience, demonstrating deep expertise as in-house counsel.

Prior General Counsel or Associate/Assistant General Counsel experience at a publicly traded company is strongly preferred, ideally with a focus on disruptive technologies or industrial products.

Proactive, business-oriented legal advisor and partner to the executive team

Exceptional ability to navigate beyond legal constraints to identify business opportunities, simplify complex legal issues, and advocate for balanced solutions.

Extensive experience with commercial transactions, corporate governance, intellectual property and other relevant areas impacting tech hardware or industrial companies.

A strategic thinker with strong business acumen who can clearly articulate recommendations to drive informed decision-making.

Ability to apply flexibility and creativity to solve problems.

Exemplary leadership, interpersonal, and negotiation skills coupled with the ability to build trust across all levels of the organization.

Experience in a start-up or high-growth company environment is desirable, as it brings a valuable perspective on scaling operations and navigating the unique challenges of rapid expansion.
