Frost Brown Todd LLP, a national law firm with 1000+ legal and business professionals in sixteen offices, is currently searching for a full-time Deputy General Counsel to join our firm. The Deputy General Counsel will work closely with the firm’s General Counsel in managing the legal affairs and professional responsibility compliance of the firm.

Job responsibilities include:

  • Supporting the General Counsel on all aspects of legal ethics, risk management, and legal/regulatory compliance.
  • Supervising the lateral specialists and overseeing the conflicts-clearance and conflicts-waiver process for lateral attorney hires.
  • Coordinating with the GC and Client Intake Counsel on cross-functionality among teams involved in review, analysis, and resolution of actual or potential conflicts of interest.
  • Overseeing the review and negotiation of firm contracts with its vendors.
  • Handling the response to subpoenas or other written discovery directed to the firm and/or its constituents.
  • Managing litigation and claims against the firm or its constituents, including hiring and supervision of outside counsel, as directed by the General Counsel.
  • Serving as advisor to firm constituents related to legal, ethics and risk management issues; firm policies, practice, and procedures; and strategic and client relations issues, as needed.
  • Analyzing and resolving actual and potential conflicts of interest, as needed.
  • Proposing, drafting, and managing firm ethics, compliance, and risk-related policies, as needed.
  • Providing ethics, professional responsibility, and risk management training to attorneys and business professionals, as needed.
  • Identifying ethical, liability, and regulatory risks to the firm, reporting those to the GC and formulating an effective response to those risks, as needed.

Job Requirements:

  • JD from an ABA-accredited law school and an active bar license in good standing required.
  • 10+ years of legal practice preferred; however, may have less with a combination of exceptional experience and skillset.
  • Prior experience in law firm risk management and legal ethics as well as prior assistant or deputy-level GC experience strongly preferred.
  • Litigation experience a plus.
  • Contract review experience a plus.
  • Ability to communicate effectively and diplomatically with the firm’s attorneys and business professionals. Outstanding communication skills, both in one-on-one and group environments, are expected.
  • Strong interpersonal skills and the ability to build working relationships with firm leadership and across departments.
  • Ability to exhibit a creative and practical approach to problem solving that is informed by the firm’s strategic, business, and professional needs.
  • Team oriented, with excellent counseling, organizational, and analytical skills.
  • Ability to exhibit steadfast professional ethics and integrity.
  • Demonstrated commitment and adherence to maintaining the highest level of confidentiality.
  • Ability to work well under challenging demands and handle numerous responsibilities simultaneously with diligence while providing practical, business-driven advice.
  • Strong legal analysis abilities.
  • Strong leadership skills with a high level of maturity and the ability to gain the confidence and respect of firm leadership, attorneys, business professionals, and clients.
