The Opportunity

The position will provide commercial and transactional legal support to TC Energys U.S. Natural Gas Pipelines businesses, including Business Development, Marketing, Commercial Operations, Compliance and Government Relations. This position will report to the Director, USNG Law Commercial and Business Development.

What you'll do

  • Provide legal support to TC Energys U.S. Natural Gas Pipeline businesses related to commercial and business development matters

  • Provide legal support in connection with transactional matters, including but not limited to formation and governance of joint ventures, structured transactions, and asset acquisitions and divestitures

  • Provide legal support in connection with commercial and operational agreements, including natural gas transportation agreements, letters of intent, term sheets, precedent agreements, facility and interconnect agreements, purchase and sale agreements, NAESBs, credit support agreements and confidentiality agreements

  • Provide legal and regulatory support for business development initiatives related to greenfield extensions, new energy initiatives (including renewable natural gas) and expansions of established pipeline systems

  • Develop standardized contract forms and department procedures

  • Provide legal support and training related to compliance matters, including the Federal Energy Regulatory Commission Standards of Conduct

  • Mentor junior attorneys and support staff

  • Supervise external legal counsel within approved budget limits

  • Monitor and advise with respect to regulatory and industry developments.

Minimum Qualifications

  • Juris Doctorate from ABA accredited law school

  • Licensed to practice law in the U.S

  • Undergraduate degree from an accredited college or university

  • Minimum seven years of relevant legal experience.*

Preferred Qualifications

  • Experience handling transactional matters in the energy sector, including but not limited to acquisitions and divestitures, joint ventures, and general corporate matters

  • Ideal candidate will have knowledge of the natural gas pipeline business, including applicable federal and state laws and regulations

  • Ability to analyze complex matters and propose creative and practical solution

  • Excellent communication and advocacy skills (oral and written)

  • Excellent organizational skills and an ability to support multiple client groups

  • Excellent interpersonal skills and the ability to work independently and in a team environment

  • Ability to work with senior commercial leaders

  • Ability to coordinate issues with other legal and business functions

  • Limited travel required.
