Job Description

This role will be a key member of our internal legal department, responsible for providing expert legal counsel on corporate transactions, governance matters, and compliance issues. This role will demonstrate a deep understanding of corporate law, exceptional analytical skills, and the ability to effectively navigate complex legal landscapes. The role requires proactive engagement with various stakeholders across the organization, providing strategic guidance and support to facilitate business transactions and ensure compliance with regulatory requirements.

Job Duties

  • Manage regional indirect procurement activities, including drafting, reviewing, and negotiating services contracts, vendor agreements, and other related contracts.
  • Develop and maintain contract templates and standard provisions to streamline the contracting process and ensure consistency.
  • Ensure that procurement activities comply with internal policies and procedures, as well as applicable laws and regulations.
  • Provide guidance on corporate governance matters related to corporate transactional activities, including contract approval processes, compliance with company policies, and regulatory requirements.
  • Provide guidance on corporate governance matters, including board of directors' responsibilities, corporate policies, and regulatory compliance.
  • Collaborate with shared services teams to provide legal support and guidance on corporate matters, including finance, human resources, IT, and other shared services functions.
  • Cultivate strong relationships with internal clients, external counsel, and other stakeholders to effectively address legal issues and support business objectives.
  • Act as a trusted advisor to senior management and other decision-makers, providing guidance on legal matters affecting the organization.

Job Qualifications

Required:

  • Juris Doctor (J.D.) from an accredited law school and licensed to practice in Pennsylvania.
  • Minimum of 5 to 8 years of experience practicing corporate law, with a focus on procurement, contract management, corporate governance, and support for shared services functions.
  • Strong understanding of contract law, commercial transactions, regulatory compliance, and shared services operations.
  • Excellent drafting, negotiation, and communication skills.

Preferred:

  • Ability to manage multiple projects simultaneously and work effectively under pressure.
  • Demonstrated ability to collaborate across departments and influence key stakeholders.
  • Commitment to upholding the highest ethical standards and promoting a culture of compliance within the organization.
  • Strong analytical, problem-solving, and decision-making skills, with the ability to balance legal risks with business objectives.
  • Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and communicate complex legal concepts to non-legal stakeholders.
  • Demonstrated ability to manage a diverse workload in a fast-paced environment, prioritize competing demands, and meet deadlines with a high degree of accuracy and attention to detail.
  • Proactive and self-motivated attitude, with a commitment to continuous learning and professional development.
  • Demonstrated ability to provide strategic legal advice to senior management and influence decision-making processes.
