Job Description

MFS is seeking an attorney with fixed income, creditor side work-out and bankruptcy experience, along with experience negotiating, executing and interpreting transactional documentation.

Principal Responsibilities:

  • Advise the fixed income investment team in connection with workouts, restructurings, bankruptcies and asset sales related to fixed income investments.
  • Provide legal analysis relating to investment opportunities, including structured products and conventional bond financings, and in particular provide guidance regarding collateral, structure, counterparty risk, payment waterfalls, covenants and other provisions relevant to investment analysis.
  • Negotiate, execute and interpret transactional documents, including investor letters, consents, waivers, amendments, forbearance agreements, confidentiality agreements, indemnity agreements, lock-up agreements, bank trading documents and related investment documents.
  • Assist with regulatory initiatives relating to transactions, including ongoing sanctions compliance and adherence to internal policies and procedures.
  • Represent MFS Funds and MFS in connection with borrowing matters, including the negotiation and maintenance of secured credit facilities, leveraged lines of credit, temporary liquidity facilities, and other borrowing arrangements for corporate or investment purposes.
  • Work with and oversee the work provided by outside counsel on a variety of legal matters, ensuring that standards for service delivery and cost are met at all times.
  • Provide support for Legal Department initiatives and matters as needed.

Qualifications:

  • Bachelor’s Degree and Juris Doctorate Degree (advanced work in legal specialty is a plus). Must have at least five (5) years of directly relevant work experience as an attorney in investment management, financial services or industry-related firm, or at a law firm.
  • Must be a member in good standing of a state bar, such as the Massachusetts Board of Bar Overseers.
  • Excellent organization, communication and interpersonal skills. Must write effectively, have excellent attention to detail, understand structural issues.
  • The successful candidate will have the ability to formulate solutions to mitigate legal risk while supporting business objectives, present to business clients with confidence and clarity, thrive in a team-orientated environment, and be able to take ownership of projects. This attorney should be nimble and curious, demonstrate excellent attention to detail and an appreciation for the big picture, and must be able to manage multiple projects concurrently.
