3Z is a vertically integrated manufacturer, direct-to-consumer brand portfolio, wholesaler, and retailer of award-winning sleep products. This is an exciting opportunity for an Arizona based, highly motivated and talented professional to join our leadership team.

The General Counsel will provide legal guidance and support to the company in all areas of its operations. GC will serve as the lead attorney for 3Z Brands with responsibility for providing legal advice and strategies to the senior management team. Overall responsibilities include, providing guidance and counsel to the executive team on matters involving compliance, contracts, labor law, debt and equity securities, M&A, and real estate, as well as reviewing and writing internal and external legal contracts, negotiating transactions, and managing contracts to ensure legal compliance. The successful candidate will possess at least 5 years of experience in corporate transactions and proven general counsel experience in the public sector, with an emphasis on public and private M&A and real estate, including private equity transactions. Solid experience with reviewing and negotiating acquisition agreements and related documentation utilized in complex M&A and private equity transactions.

Key responsibilities and qualifications for this key position:

Providing legal advice and counsel on a wide range of issues, including contracts, compliance, intellectual property, employment, and regulatory matters

Provide strategic, creative, and effective legal and business advice to support the Company’s overall business priorities with a focus on corporate transactions such as mergers, acquisitions, and other real estate matters

Identify and resolve or mitigate risk and critical legal and business issues arising from transactions.

Develop, maintain, and improve company real estate agreement standards and template provisions and forms

Provide counsel and guidance to support the business on a wide range of overall legal issues.

Drafting, reviewing, and negotiating various legal documents, such as contracts, agreements, and policies.

Managing and overseeing litigation and disputes.

Conducting legal research and staying up-to-date with changes in laws and regulations.

Collaborating with internal stakeholders, such as executives, managers, and employees, to address legal issues and mitigate risks.

Developing and implementing legal strategies and policies to protect the company's interests.

Ensuring compliance with applicable laws, regulations, and industry standards.

Managing relationships with external legal counsel and other professionals.

Qualifications:

Juris Doctor (JD) degree from an accredited law school and active bar membership.

A minimum of 5 years of experience as a General Counsel or in a similar legal role with a manufacturing company.

In-depth knowledge of manufacturing industry regulations, including environmental, health and safety, and product liability.

Strong understanding of contract law and experience in drafting and negotiating commercial agreements.

Familiarity with intellectual property protection, including patents, trademarks, and copyrights.

Proven ability to manage and resolve complex legal issues and disputes.

Excellent communication and interpersonal skills to effectively collaborate with internal and external stakeholders.

Strong analytical and problem-solving skills.

The General Counsel will report to the CEO and will be responsible for providing legal support and guidance to ensure the company operates in compliance with laws and regulations while protecting its interests. Your expertise in manufacturing industry regulations and legal matters would be crucial in managing legal risks and facilitating the company's continued growth and success.
