Convergint is looking for a full-time, enthusiastic, results driven and forward-thinking, compliance-driven commercial attorney to join our amazing culture. In this role, you will support our contracting needs and strategy as they relate to the sale of products and services to Convergint’s customers. You will work hand-in-hand with other members of the legal team and our business partners on commercial contracts. As In House Counsel, you are a part of a dynamic legal team that allows you to grow at Convergint.

*This position is remote, but will report to the local CTC (office) 1-3 days/month. *

What You’ll Do

  • Draft, review, and negotiate a variety of types of contracts, bids and proposals (i) such as construction contracts, maintenance contracts, contracts for equipment, materials, and supplies, managed services, and agreements for professional services, and (ii) that meet specifications and comply with all company policies, directives and regulations.
  • Review contract terms to identify any potential risk or compliance issues which deviate from company contract guidelines and risk tolerances.
  • Review supporting materials and agreement documents related to bids or contracts and provides guidance to sales and others in the formation and execution of contractual agreements.
  • Familiarity with AIA forms and other construction industry templates.
  • Acts as liaison between the organization and the Convergint Technology Centers to implement the contracts.
  • Draft or update corresponding processes, guidelines and policies as needed to support customer and vendor contracts.
  • Develop and deliver training to internal sales and business colleagues on commercial and compliance requirements for contracts.
  • Partner with and counsel business leaders across varying levels of our organization to support our sales strategy, providing clear and practical guidance to business leaders.
  • Perform miscellaneous job-related duties as assigned.
  • Report directly to an Associate General Counsel.

Requirements:

Education: JD from an accredited law school

Minimum Experience: 3 years of negotiating commercial sales agreements

  • Experience with collaborating with cross-functional teams and business leaders to develop comprehensive, business-oriented solutions to problems.
  • Curious thinker who has experience with complex business models and identifying process improvements.
  • Commitment to a creative, inclusive, and diverse workplace, and ability to contribute to a sense of belonging in the broader Legal Department.
  • Ability to operate independently with minimal supervision to negotiate commercial contracts and keep up to date on changes in government compliance.
  • Experience advising on competition and lobbying matters relevant to government contractors is a plus.
  • Advising on IT, cybersecurity, data security, supply chain, and other highly technical concepts and associated regulatory and contractual requirements is a plus.
  • Strong sense of ownership of work product and ability to proactively anticipate needs of the legal department and business units
  • Pragmatic and practical approach to legal advice and legal support.
  • Ability to work creatively and analytically in a problem-solving environment.
  • Thrives in a constantly evolving environment by showing high adaptability.
  • Demonstrated teamwork and collaboration in a professional setting.
  • Performs other duties and responsibilities as requested or required.

    Preferred Experience: (but not required):

    • Construction legal experience
    • Advising on IT, cybersecurity, data security, supply chain, and other highly technical concepts and associated regulatory and contractual requirements is a plus.
