This position reports to our global HQ in Cambridge, MA. Local candidates who can work onsite two days per week (Tuesdays and Wednesdays) are strongly preferred, although consideration will also be given to East Coast-based candidates working remotely.

Who we are looking for:

As we continue to grow globally, we’re looking for a highly motivated Contracts Counsel to join our Legal Team. Reporting directly to our General Counsel, you’ll partner closely with our Commercial Team to draft, negotiate, and review a wide range of complex contracts. You’ll also leverage your in-depth expertise to streamline our contracting processes, minimize legal risks, and help drive our broader legal strategy.

What you will be doing:

  • Draft, negotiate, and review contracts for TriNetX’s Commercial Team across multiple sites internationally, including SaaS license agreements and network membership agreements with health care organizations and industry customers.
  • Interpret existing contracts and advise on contract interpretation issues.
  • Support ongoing company-wide contracting initiatives, including policy development, template standardization, and adoption of contract-related technologies.
  • Proactively assess, prevent, and minimize legal risk to the company and help drive legal strategy to align and achieve strategic business goals.
  • Collaborate with others and/or work independently to provide primary legal support for internal and customer-facing projects.
  • Actively engage with all parts of the organization to maintain compliance with internal and external policies and obligations.
  • Offer counsel on various legal issues, collaborate with internal and external counsel, and provide support with other legal projects and initiatives, as needed.


Requirements:

  • Preferably 3 to 5 years, of relevant experience with drafting, negotiating, and reviewing complex commercial contracts in the SaaS/healthcare/clinical data space.
  • License to practice law in Massachusetts or another US state — and/or registered to practice as in-house counsel.
  • Exceptional verbal and written communication skills, with the ability to effectively convey legal concepts and advice to internal and external stakeholders.
  • Strong drafting and negotiating skills, with an acute attention to detail.
  • Familiarity with state and federal health and privacy regulations such as HIPAA, CCPA and CPRA.
  • Demonstrated ability to provide cross-functional team members with practical, risk-appropriate, and timely legal advice and support.
  • Exceptional organizational and time management skills, with the ability to prioritize competing projects, adapt to changing priorities, and work independently with minimal supervision.


Bonus points:

  • Experience working with IP-rich contracts in the pharmaceutical and/or biotechnology industry.
  • Familiarity with global health and privacy regulations such as GDPR, LGPD or APPI.
  • Background experience in one or more of the following areas:
    • Litigation
    • Employment Law
    • Corporate Law
    • Privacy Law
