Are you an experienced legal professional with a knack for contract negotiations? At Prosci, were seeking a Contract Attorney to enhance our legal team. Your primary focus will be negotiating and managing Proscis client contracts, as well as handling other contract types such as government, vendor and partner agreements. We value calm professionalism during negotiations and aim to find mutually beneficial solutions that align with our risk thresholds. Additionally, youll assist with risk management matters. Requirements:

Leads and improves the contract process by collaborating closely with Proscis Growth Team and Legal Team and making recommendations to streamline the contract negotiation process.

Works with Proscis contracts staff and guides compliance with complex contractual and regulatory requirements.

Negotiates a variety of contracts with clients, suppliers, or partners.

Ensures contracts are administered and monitored to maintain compliance with the terms of agreements.

Ensures an understanding of and ability to report on various elements of the contract process from beginning up to execution.

Identifies contractual issues or areas of concern and able to propose solutions to address the same with little or no supervisory assistance.

Understands and clearly and succinctly communicates the rationale for standard contractual clauses, both in writing and orally.

Balances competing interests of client requests and Proscis risk thresholds to progress negotiations.

Provides internal stakeholders (including contracts staff) with guidance and direction regarding substantive and unique issues.

Earns trust with all clients, both internal and external.

Coordinates with internal stakeholders on agreement statuses and able to prioritize contract reviews.

Assists with accurate and complete files of contracts and records.

Strong experience negotiating vendor, data processing, and government contracts with little or no supervisory assistance needed, along with experience of creating and updating standard forms to shorten the negotiation process.

Assist in new vendor and project due diligence.

Gather documents from key stakeholders for internal/external audits for ISO certification and facilitate the mitigation plan to resolve outcomes arising from said audits.

Manage privacy/security inbox and respond to security questionnaires.

Collect documents necessary for Proscis insurance coverages.

Participate in Proscis Information Security Management System Governance Council (ISMS), manage the ISMS risk register, along with coordinating ISMS meetings and maintaining the meeting minutes.

Qualifications

Holds a JD and is admitted to the bar in the state in which you will work with a path to obtain admittance in Colorado, if applicable.

5-7 years experience in contract negotiation or proven ability to assume increasingly challenging responsibilities

Additional Preferences

Experience with Salesforce or similar CRM applications, document generation software, and/or electronic signature platforms preferred but not required.

Experience with contract management software like Conga and compliance management software like Vanta.

Work Location: This position can be located in office at Fort Collins, Colorado, a hybrid role or remote within the US

Base Compensation: $105,000 - $120,000 is the projected range of annual base salary for this role depending on the candidates overall qualifications and experience. You may also be eligible to receive bonus and benefits.
