We are seeking an experienced Transactions Attorney with a strong focus on private equity and growth to enhance our legal team. In this role, you will be responsible for leading and managing complex transactions involving portfolio companies and capital markets, with a particular emphasis on private equity and growth-oriented deals. You will need to have a deep understanding of legal, regulatory, and strategic aspects of high-stakes transactions, including mergers and acquisitions (M&A), securities offerings, and compliance with financial regulations. The ideal candidate will have a proven track record of navigating the intricacies of corporate law in a fast-paced, global environment, providing expert advice and support to our investment teams and portfolio companies.

Responsibilities:

  • Lead and manage complex legal transactions, including mergers, acquisitions, divestitures, joint ventures, and strategic partnerships, with a focus on private equity and growth-oriented deals.

  • Provide legal oversight and strategic advice on capital market transactions such as initial public offerings (IPOs), debt offerings, and private placements, with a specific emphasis on growth-oriented companies.

  • Draft, review, and negotiate a wide range of transactional documents

  • Advise on transaction-related legal, structuring and regulatory matters (e.g., antitrust, financial regulatory, section 13 and 16 compliance)

  • Liaise with operations, tax, fund and compliance teams on a variety of matters, including signing and closing process, LP and co-investor matters

  • Collaborate with portfolio companies to provide guidance on corporate governance, compliance issues, and risk management strategies, with an emphasis on supporting their growth objectives.

  • Coordinate with external counsel and internal stakeholders to ensure seamless transaction execution and compliance with all applicable laws and regulations, with a particular focus on private equity and growth-related regulations.

  • Monitor and analyze regulatory developments and industry trends in securities law and corporate governance to provide proactive advice to the business, with a specific focus on private equity and growth-related regulations and best practices.

  • Mentor and supervise junior attorneys and support staff, fostering an environment of continuous learning and development within the legal team, with an emphasis on private equity and growth-related legal expertise.

Qualifications:

  • 7+ years of legal experience in a law firm or corporate setting, with a strong focus on private equity, growth equity, and transactions related to high-growth companies.

  • Demonstrated experience advising on capital markets transactions and compliance with SEC regulations, with a specific emphasis on private equity and growth-oriented deals.

  • Strong understanding of the legal and regulatory landscape affecting private equity, venture capital, and portfolio companies, with a particular focus on growth-oriented investments.

  • Excellent negotiation, communication, and interpersonal skills, with the ability to manage senior stakeholder relationships in the private equity and growth space.

  • Proven ability to work independently and manage multiple projects simultaneously in a dynamic environment, with a focus on private equity and growth-related transactions.

  • Strategic thinker with a detail-oriented approach and a commitment to excellence in the private equity and growth context.

  • Juris Doctor (JD) degree from an accredited law school.

  • Admission to the bar in the state of practice.

Expected annual base salary range:

$210,000 - $275,000

Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables.

Additional compensation: Base salary does not include other forms of compensation or benefits offered in connection with the advertised role.
