Position Summary:

Finicity is currently seeking experienced Corporate Counsel to join our fast growing company.  The successful candidate will have 3- 5+ years of relevant legal experience with a corporation, law firm, government agency or some combination, with experience in government and commercial contracts, human resources/employment law, intellectual property, and software. 

What you will do:

  • Support management and outside counsel and provide advice and guidance on corporate governance matters to senior management and Board of Directors and audit, compensation, and other committees;

  • Review and provide feedback on significant vendor contracts and customer contracts;  

  • Provide assistance in preparation for Board and committee meetings, including preparation of meeting agendas, materials, and minutes;

  • Provide assistance in managing shareholder relations and preparation of materials for annual and special meetings of shareholders;

  • Provide assistance in maintaining corporate books and records;

  • Provide assistance in preparing, managing and implementing corporate governance and related policies and preparing, managing and implementing corporate policies;

  • Provide support to senior management and outside counsel for M&A transactions, including working with executives and finance department on deal structure, LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process, outside counsel and execution;

  • Support the finance team on stock option and equity matters; 

  • Support human resources department on personnel and compensation matters and employee education;

  • Provide support to management on real estate, corporate, financing, and commercial and other transactions and special projects as needed;

  • Assist in commercial contracting and maintaining form agreements; and

  • Other duties, responsibilities, and qualifications may be required and/or assigned as necessary. 

Qualifications:

  • 3-5 years of relevant legal experience counseling high-growth technology companies at a top law firm or in a comparable environment as part of an in-house legal team

  • Member in good standing of at least one State Bar

  • JD degree with excellent academic credentials

  • Experience in the software and technology industry, and general knowledge of the FinTech or Financial Services industry

  • Substantive experience with drafting and negotiating complex and technical legal agreements

  • Experience with other internal company functions or areas of law is desired

  • Ability to work independently with minimal supervision, while adapting quickly to a rapidly changing environment

  • Practical yet creative problem-solving approach that emphasizes addressing business needs while protecting Finicity’s values and interests, as well as complying with applicable laws, regulations, policies and obligations

  • Extremely well organized with a proven ability to multitask in a fast-paced environment while meeting deadlines

  • Exceptional communication and interpersonal skills

  • Sound and practical business judgment

  • Highly responsive and service-oriented attitude
