Purpose:

The General Counsel will report to the Chief Administrative and Chief Legal Officer and provide a range of legal services with a primary focus on leading the companys public company, corporate governance and transactional matters. Floor & Decor will rely on the General Counsels expertise to help ensure compliance with all public company and other applicable requirements and to further the Companys business objectives. As a fast-growing national retailer, Floor & Decor is looking for a self-motivated, highly effective contributor to support the business and grow with us as our needs evolve.

Minimum Eligibility Requirements:

  • Bachelors and law degrees
  • 15+ years of relevant experience in a law firm or in-house legal department
  • Experience in securities filings, M&A, corporate governance and commercial contracts.
  • Excellent organizational, communication and client service skills
  • Exceptional judgment for considering inputs and evaluating potential courses of action.
  • Strategic acumen and excellent problem solving skills.
  • Demonstrable ethics, professionalism and integrity
  • Experience with the financial management of a corporate legal department and legal operations.
  • Regulatory expertise, legislative experience and knowledge of corporate compliance
  • Ability to work independently and anticipate and address follow-up needs and escalate issues as appropriate.
  • Record of managing and prioritizing responsibilities; role is expected to lead and collaborate with multiple attorneys and business departments.
  • Ability to thrive in a fast-paced environment with a high level of responsiveness and grow as the Companys legal needs increase and evolve.

Essential Job Functions:

  • Ensure compliance with SEC and NYSE rules and regulations, including the 33 and 34 Act (including advising and preparing necessary materials relating to all public filings), with hands-on involvement in all filings.
  • Lead M&A transactions, including drafting and negotiation responsibilities.
  • Prepare annual proxy statement and oversee all Section 16 filings.
  • Manage legal department budget, drive efficiency and deliver an outstanding level of service.
  • Develop, motivate and drive performance from legal team.
  • Provide expert and strategic advice to management on all legal matters relevant to a public company.
  • Develop and maintain a deep understanding of Companys strategies and business activities.
  • Assess long term issues regarding the Companys regulatory, business and legal risks and identify proactive solutions that mitigate risk.
  • Develop and maintain a Company-wide regulatory compliance program and set internal governance policies and manage impact of external factors.
  • Manage other aspects of the legal department, including administrative management and financial management of the department.
  • Prepare draft Board minutes and materials.
  • Assist with addressing ESG matter and related disclosures.
  • Build and maintain strong associations of confidence, trust and respect with colleagues.
  • Manage critical relationships with external resources, including outside experts and external counsel and make key decisions about how to augment in-house experience.

Working Conditions (travel & environment)

  • Travel may be required including air and car travel.
  • The noise level in the work environment is typically quiet to moderate.

PHYSICAL/SENSORY REQUIREMENTS

Sedentary Work Ability to exert 10 - 20 pounds of force occasionally, and/or negligible amount of force frequently to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time but may involve walking or standing for brief periods of time.
