PURPOSE OF JOB: The In-House Legal Counsel is responsible for providing a range of duties in support of legal and documentation, compliance of business operations, collections legal case management, document preparation, and legal and documentation compliance reviews.A majority of the legal work will be undertaken for United Leasing, Inc., with projects related to affiliate business units as assigned by General Counsel.

JOB DUTIES INCLUDE:

Legal Case Management

  • Work directly with outside law firms organizing and directing designated collection legal case matters.
  • Log, update, and maintain all United Leasing, Inc. (ULI) Legal Collections case information and tracking.
  • Coordinate communications and documentation with outside counsel representatives.
  • Organize and maintain accurate legal records in paper or electronic forms via companys Legal Log or other internal Case Management software as may be required.

Documentation Compliance

  • Review and summarize contracts, programs, labor agreements, and other third-party agreements, including but not limited to: loan/lease documents, disclosure forms, forbearance agreements, Landlord Subordination Agreements, purchase orders, and master agreements.
  • Assist in lending and leasing compliance review processes, emphasizing compliance with usage of the correct standardized and approved documentation, as well as ensuring that any alterations from standardized documentation are escalated for review and approved by appropriate management prior to release.
  • Review and edit legal forms and documents for completeness and accuracy at direction of Executive Management and/or General Counsel.
  • Review and revise agreements and other documents pursuant to instructions from Executive Management and/or General Counsel.

Legal

  • Prepare legal correspondence for the Company Executives and/or General Counsel, as instructed.
  • Negotiate terms and/or conditions of Landlord Subordination Waivers and other documents with outside parties pursuant to instructions by General Counsel.
  • Assist in the legal collections process and follow up with internal team members and external counsel and other parties.
  • Collaborate with other teams and individuals, such as Credit and Underwriting and Syndications, to provide legal guidance and clarify impacts of legal issues.
  • Participate in legal-related and/or business-related research projects as may be assigned.
  • Perform legal and factual research, including gathering and analyzing research data, such as relevant judicial decisions, statutes, legal articles, codes, and other pertinent material.
  • Refer legal cases to counsel with the approval of the CEO, General Counsel, or other designated Senior Manager.
  • Create and provide detailed updates to Executive Officers on legal matters.
  • Assist General Counsel with corporate governance for all Business Units (e.g. annual and special consents).
  • Draft and file annual and biennial reports for all Business Units with the appropriate Secretaries of State.
  • Review legal invoices for accuracy and provide updates to the Executive Management, along with the appropriate and accurate invoices for approval.
  • Upon request and direction of General Counsel, assist in the timely and accurate drafting of Master Agreements and supporting documentation, assisting with the coordination of document execution and providing all necessary post-closing support.
  • Assist the Company Executive Management with designated workouts of distressed accounts.

General

  • Assist in preparing reports, presentations, exhibits, and other communications documents.
  • Meet with individuals involved in legal processes to provide information and clarify issues.
  • Develop and maintain intimate knowledge of business-related systems and operations.
  • Timely escalate issues and concerns to General Counsel, as conditions may dictate.
  • Perform quality work within deadlines, with or without direct supervision.
  • Interact professionally with other employees, legal advisors, customers, suppliers, and others in the course of employment.
  • Ensure prompt and regular attendance.
  • Perform other appropriate duties as may be assigned by Management.
  • Travel as business needs may require.

Qualifications:

Education:

  • Juris Doctorate from an accredited law school is required.

Experience:

  • Bar membership in good standing, and ability to be licensed in the State of Indiana within nine (9) months following the commencement of the position.
  • 2+ years of legal experience, with experience in financing, civil collections, commercial transactions, real estate, and/or contract review.
  • Prior supervisory experience is preferred.

  • Proficiency in Microsoft Office software, including Outlook, Word, PowerPoint, and Excel.
