In the US, EDF Innovation Labs role is to provide R&D, innovation, and business development support to the EDF Group. This is done through the creation of partnerships and collaborations with leading research institutions and industries and the identification and development of innovative technologies and solutions.

The In-house Legal Counsel will support the business development and corporate teams by reviewing contracts and participating in various negotiations for deals. This position is also responsible for providing legal guidance and advice to growing business.

Responsibilities

  • Support the infrastructure, business development teams and corporate contract review

  • Serve as the day-to-day legal lead for significant transactions, including large-scale aggregations, potentially involving multiple contracts, counterparties and stakeholders

  • Independently draft, structure and negotiate all aspects of customized, multi-million dollar structured energy transactions, including mergers and acquisitions and secured financing Agreements, NAESB Agreements, and complimentary transaction documents

  • Advise business units regarding diverse array of legal issues ranging from credit support matters, bankruptcy contingency planning and regulatory issues

  • Review, draft, and negotiate confidentiality agreements, vendor and consulting agreements, guaranties, and other similar agreements related to assigned client group

  • Coordinates legal matters and contracts for any structured origination and business development- activities Advise clients on complex transactions.

  • Identify and communicate significant risks succinctly to other attorneys and senior management

  • Responsible for staying abreast of market terms and updating contract provisions as appropriate Provide legal support to other matters on an as-needed basis due to business requirements

  • Provides written and oral legal advice to internal clients Anticipates and guards against legal and regulatory risks involving the organization

  • manage compliance policies and reporting

  • support preparation and documentation of board meetings and decisions

Requirements & Qualifications

  • Undergraduate and Juris Doctorate degrees with strong academic credentials.

  • Licensed in New York. Also licensed in Texas, highly preferred.

  • Minimum of 5 years of transactional experience at a prestigious law firm, or combination of prestigious law firm and in-house experience working in markets the Company competes

  • Experience closing complex wholesale power and gas contracts and structured energy transactions.

  • Familiarity with federal (FERC) and regional (ISO) rules and regulations.

  • Good understanding of the principles and can independently use the knowledge.

  • Professional judgment and sensitivity necessary to earn client confidence.

  • Excellent interpersonal skills, strong initiative and the ability to lead negotiations on behalf of EDF team.

  • Ability to prioritize tasks and be able to respond to changes in priorities Highly motivated, self-sufficient and enthusiastic individual
