Your role at GEI.

The GEI Corporate Counsel position will serve as a strategic advisor and trusted confidant to the Chief Counsel. This position requires a highly respected attorney who combines an incisive legal mind with excellent judgment, a keen business acumen, and the highest ethical standards.

Essential Responsibilities & Duties

  • Provide legal review and sign-off on corporate contracts and negotiate complex contracts with external partie
  • Assist with managing litigation, employment matters and contract disputes at the GEI level and render assistance, as required, to the subsidiaries.
  • Mergers & Acquisitions - working with both internal and external counsel on strategies, analysis of candidate firms, negotiations, LOI, due diligence, document preparation, etc.
  • Participate in formulating policies, procedures, codes of conduct and other foundational documents.
  • Assist with maintaining corporate files and reports.
  • Provide oversight of operating companies legal and compliance matters to ensure they are effective.
  • Keep informed of new laws and legal developments as they occur and analyze their applicability to the companys activities and objectives.
  • Utilize a strong understanding of corporate governance and a solid grasp of how corporate legal functions interface with Tax, Human Resources, Finance, etc. to contribute to the success of Company strategic and operating plans.
  • Intellectual property management.
  • Facilitate communication and collaboration among diverse areas of the company to ensure obligations are appropriately addressed.
  • Manage special projects as required to support the business.
  • Other activities as directed by the Chief Counsel.

Experience and Skills

  • Experience with a broad portfolio of issues in Engineering and Professional Consulting is required along with a proven understanding of the legal and insurance factors influencing the industry.
  • 10-15 years of experience as a practicing attorney.
  • Knowledge and understanding of the engineering/consulting sectors specifically as it relates to litigation and claims, risk management, contract administration, legal support, insurance and other legal considerations.
  • Experience navigating complex legal issues impacting the engineering/consulting sectors.
  • Positive team player and collaborator.
  • Strong legal and business risk identification, assessment and mitigation skills.
  • Business acumen and ongoing commitment to a mindset that legal facilitates the business.
  • Strong understanding of corporate governance and a solid grasp of how corporate legal functions interface with Tax, Human Resources, Finance, etc.
  • Excellent communication skills, with the ability to translate complex issues into understandable and executable advice.
  • Proven track record as a trusted advisor and confidant with exceptional judgment.

Education

  • J.D. from an accredited law school.
  • Licensed to practice law.
