Position Summary

The Corporate Counsel will be part of the commercial contracting team within Life Times legal department and primarily support Life Times Athletic Events and Partnership Marketing business. Life Time operates nearly 30 iconic athletic events throughout the United States, including the Leadville Race Series, UNBOUND Gravel and the Miami Marathon. This individual will play an important role in the Companys strategic growth and initiatives by providing sound legal advice, exercising problem solving skills and building relationships with key clients and business leaders at Life Time.

Job Duties and Responsibilities

  • Draft, review and negotiate a variety of commercial and consumer contracts in a timely and efficient manner, including:
    • Sponsorship and Exhibitor Agreements for corporate sponsors of athletic events
    • Vendor and Supplier Agreements for the promotion, sale and procurement of products and services for Life Times events and other businesses
    • In-club Media, Advertising and Experiential Marketing Agreements for corporate sponsors
    • Facility Use Agreements for use of Life Times physical spaces, including for private events, tournaments, filming and photography
    • Timing Agreements for the manufacture and sale of race timing equipment
    • Private Land Use Agreements and form indemnification agreements
    • Participant and other activity waivers
    • Licensing Agreements
    • Sweepstakes and promotions terms and conditions
    • New forms of contracts for product offerings and business ventures
  • Develop and maintain effective working relationships with the Athletic Events operations and marketing teams
  • Advise clients on legal risks, policies and procedures related to event operational matters, projects, processes and marketing, promotional and advertising activities
  • Support international legal issues associated with the manufacture and export of timing equipment outside of the United States, including guidance to support compliance initiatives
  • Assist with management of legal claims arising from athletic events
  • Support public-private partnerships, including procurement of public grants associated with events
  • Conduct legal research and present to clients
  • Support the Life Time Foundation by reviewing grant agreements and supporting fundraising initiatives
  • Opportunity to support the Companys intellectual property legal work, including management and protection of the Companys trademark portfolio (both in the United States and internationally) and defense of IP infringement claims, in consultation with outside counsel
  • Opportunity to support privacy matters, including the development and maintenance of related policies and protocols as well as advice and counsel on data privacy compliance (e.g., privacy policy/notice, proposed data use activities)

Minimum Qualifications

Education:

  • 4-Year Undergraduate Degree
  • J.D. from an Accredited Law School

Experience:

  • At least three years experience in commercial contracting in either a law firm or in-house environment.

Licenses / Certifications / Registration:

  • Valid license in good standing to practice law in at least one state in the United States.

Knowledge, Skills, Abilities and Other Characteristics

  • Clearly and concisely draft commercial contracts, discuss key terms with business clients and negotiate with third parties.
  • Be a strategic business partner by developing an understanding of the business, being client -focused, responsive and dependable, with an understanding of the clients sense of urgency.
  • Excellent interpersonal skills with ability to work with clients located throughout the country.
  • Adept at making well-reasoned and defensible risk assessments and providing business clients at all levels with practical, actionable legal advice.
  • Provide comprehensive, timely and practical legal advice in a fast-paced, dynamic work environment.
  • Prioritize multiple tasks and adjust workload prioritization based on business needs.
  • Demonstrated ability to work independently and collaboratively.
  • Excellent oral and written communication skills.
  • Expert proficiency in Microsoft Office Suite.
  • Excellent organizational skills and willingness to work cross-functionally and collaboratively across various business functions.
  • Demonstrated commitment to maintaining a high level of confidentiality.
  • Familiarity or experience with establishing and protecting intellectual property (including management of trademarks) desired.
