Title: Corporate Counsel

Reports To: Director of Legal Services

FLSA Status: Exempt

As Corporate Counsel, your essential job functions will include the following:

  • Structure, draft, negotiate, and counsel on a variety of commercial contracts including vendor and customer contracts, SaaS agreements, MSAs, NDAs and other contracts involving a variety of complex legal and business issues.
  • Interpret and effectively explain nuanced contractual terms, conditions, rights and obligations to business teams.
  • Provide strategic legal advice and transaction management at all phases of the commercial contracting process;
  • Act as the point of contact for all internal business unit questions regarding contracts.
  • Proactively identify trends in relevant legal issues to strategically mitigate risk across the contract portfolio.
  • Develop, manage and leverage processes, documents, and forms to standardize practices and otherwise promote efficiency.
  • Perform other related duties as assigned.

Position Requirements

  • A minimum of ten (10) years of the practice of law in the areas of commercial transactions with some in-house experience.
  • Comfortable using common technology for contract creation and management, including the Microsoft Office suite.
  • Must have a J.D. from a law school accredited by the American Bar Association (ABA).
  • Must be admitted to practice law in the state of Ohio or ability to gain corporate counsel.
  • Experience with contract management software solutions.
  • Strong oral, writing and negotiating skills.
  • Excellent interpersonal and communication skills.
  • Experience advising clients on compliance and data privacy matters is a plus, but not required.

Physical Job Requirements

  • Continuous viewing from and inputting data to a computer screen.
  • Sitting for long periods of time.

The compensation offered for this position will depend on qualifications, experience, and geographic location. The total compensation package may also include commission, bonus or profit sharing. We offer a competitive & comprehensive benefit package including: paid time off, medical, dental, vision, and 401k match (50% on the dollar up to 7% of employee contribution).

Base Pay Range:

$160,000.00 - $180,000.00
