RESPONSIBILITIES

CORE RESPONSIBILITIES AND TASKS:

Effectively handles assigned legal activities for business units, functions and/or legal practice areas.

  • Supports projects and teams - Supports or leads projects and teams providing legal support and solutions to the Company's business units or corporate departments.
  • Provides advice - Provides focused and practical legal advice respecting business operations as well as the impact of current or anticipated laws, rules and regulations.
  • Substantiates positions - Researches, develops and coordinates implementation of legal solutions.
  • Mitigates risk - Identifies and analyzes existing and emerging legal risks. Develops and implements business-focused strategies to manage risks.
  • Compliance - Assists the development and implementation of policies, procedures and control mechanisms to promote compliance with applicable laws, rules and regulations.
  • Proactive guidance - Stays abreast of new regulations and emerging legal risks; provides proactive advice and counsel to business units and corporate functions that may be impacted.

Demonstrates the development of core legal expertise and support for legal affairs of business units or enterprise-wide functions.

  • Develops broad understanding of the operational model by which the supported business unit or enterprise-wide function operates.
  • Supports clients on a cost-effective basis.
  • Manages outside counsel in an efficient and cost effective manner, as necessary.

Digital Technology and E-Commerce Legal Support.

  • Acquire and maintain knowledge of company systems, tools and processes and procedures relevant to digital technology, e-commerce, and digital customer solutions.
  • Draft, review and negotiate technology contracts including licensing, software development, cloud solutions, consulting, data transfer and processing, digital marketing agreements, financial technology solutions, and payment processing agreements.
  • Advise on legal issues related to the Companys e-commerce platforms, websites, and customer-facing software applications, including advising on terms and conditions, consumer disclosures/disclaimers, data collection and use, and product fulfillment and delivery.
  • Lead, collaborate and support projects and provide general legal support for Companys digital initiatives, including advising on emerging technologies, use of artificial intelligence, and consumer data analytics.
  • Stay up-to-date on new regulations and emerging legal risks and provide proactive advice and counsel to corporate functions and business units.

Data Privacy and Cybersecurity.

  • Acquire and maintain knowledge of Company systems, tools and processes and procedures relevant to data privacy and cybersecurity.
  • Advise on domestic and international data collection, processing, handling, and transfer issues, and provide counsel on contracts involving the collection, processing, handling, and transfer of personal data.
  • Ensure the Companys compliance with existing and emerging domestic and international data privacy legislation; develop and recommend changes to the Companys operations and policies to comply with privacy laws.
  • Advise on day-to-day data privacy issues and policy development, with a particular focus on vendor privacy and security compliance initiatives, including support of Companys cybersecurity compliance team.

Other Corporate & Administrative Matters.

  • Support projects, negotiate agreements and provide advice on other assigned corporate and administrative matters.
  • Manage and direct outside counsel, as necessary.

Supervisory Responsibility.

  • May manage or provide work direction or review the work of IC level support staff (attorneys, paralegals, admins, fellows, law clerks, etc.).

QUALIFICATIONS

FORMAL EDUCATION:

Required:

  • Juris Doctor
  • License to practice law in Ohio

KNOWLEDGE & EXPERIENCE:

Required:

  • 5 years of experience in a law firm and/or corporate legal department.
  • Experience advising on a range of issues relating to digital technology, data privacy, cybersecurity and other contract matters.

Preferred:

  • 5+ years of experience preferred.
  • Excellent academic credentials

TECHNICAL/SKILL REQUIREMENTS:

Required:

  • PC skills; Microsoft Office applications (Word, Excel, PowerPoint)
  • General working knowledge of legal software

Travel 10%
